1. Acceptance of Terms

By accessing and using the MedVault website, mobile application, and services (collectively, "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any portion of these Terms, you may not use our Services.

MedVault Limited ("Company," "we," "us," "our") reserves the right to modify these Terms at any time. Continued use of our Services following notification of changes constitutes acceptance of revised Terms.

2. About MedVault

MedVault Limited is a Ghana-based healthcare medical supplies company providing quality medical devices, consumables, pharmaceuticals, and related products to healthcare facilities across Ghana and Africa. We operate as a B2B supplier focused on serving government hospitals, teaching hospitals, district hospitals, private clinics, and specialized medical facilities.

3. Eligibility and User Accounts

3.1 Age and Capacity

By using our Services, you represent that you are at least 18 years old and have the legal authority to enter into binding agreements. If you are acting on behalf of a healthcare facility or organization, you represent that you are authorized to bind that entity to these Terms.

3.2 Account Creation

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, complete, and up-to-date information
  • Maintain the confidentiality of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion if you violate these Terms or engage in inappropriate conduct.

4. Product Information and Availability

MedVault provides information about medical devices, consumables, pharmaceuticals, and related products. We strive to ensure that product descriptions, specifications, and pricing are accurate. However:

  • Product availability is subject to change without notice
  • We reserve the right to correct pricing errors
  • Product specifications must be verified with our team before purchase
  • Images on our website are for illustration purposes and may not be exact representations
  • We do not warrant that all product information is error-free or complete

For critical medical products, please contact our team directly to confirm specifications, regulatory certifications, and compliance requirements.

5. Quote Requests and Orders

5.1 Quote Process

Quote requests submitted through our platform are non-binding. MedVault will review your request and respond within 24-48 business hours with a formal quotation. This quotation becomes a binding offer upon acceptance by both parties.

5.2 Order Acceptance

An order is only formed when MedVault provides written confirmation of acceptance, which may be via email or formal contract. We reserve the right to refuse any order at our sole discretion.

5.3 Quotation Validity

Quotations are valid for 30 days from the date of issue unless otherwise specified. Prices may change after the validity period. For long-term agreements or bulk orders, please contact our sales team for extended terms.

6. Payment Terms

6.1 Payment Methods

We accept various payment methods including bank transfers, credit/debit cards, and mobile money. Specific payment arrangements will be communicated in your quotation.

6.2 Payment Terms

Standard payment terms are 50% upfront and 50% upon delivery, or as otherwise agreed in writing. For qualified healthcare facilities, we may offer extended payment terms subject to credit approval.

6.3 Failed Payments

If payment fails, your order will be put on hold. We will attempt to contact you to resolve the issue. Repeated failed payments may result in order cancellation.

6.4 Currency and Taxes

All prices are in Ghana Cedis (GHS) unless otherwise stated. Prices exclude applicable taxes, duties, and customs charges, which are the buyer's responsibility.

7. Delivery and Risk of Loss

7.1 Delivery

Delivery timelines will be specified in your quotation. We will use reasonable efforts to meet delivery dates but do not guarantee specific delivery dates. Delivery is subject to availability and logistics constraints.

7.2 Shipping Responsibility

Products are typically shipped via courier or logistics partner. Risk of loss transfers to you upon delivery to your specified location. We recommend insurance for high-value shipments.

7.3 Damaged or Missing Items

Please inspect products immediately upon delivery. Claims for damaged, defective, or missing items must be reported within 7 days of delivery with photographic evidence. We will replace or refund items verified as damaged or missing.

7.4 Delays

We are not liable for delays caused by events beyond our control, including weather, logistics issues, customs clearance, or force majeure events.

8. Product Warranties and Disclaimers

8.1 Product Warranties

Products are warranted to be as described in the specification sheets at the time of delivery. Manufacturer warranties apply where applicable and are separate from these Terms. Warranty duration varies by product category.

8.2 Medical Device Disclaimers

Medical devices and pharmaceuticals must be used in accordance with manufacturer instructions and applicable regulatory requirements. MedVault does not provide medical advice. Healthcare facilities are responsible for proper training, usage, maintenance, and compliance with regulatory standards.

8.3 AS-IS Disclaimer

Except as expressly stated, all products are provided "AS-IS" without further warranties, representations, or conditions. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.4 Regulatory Compliance

Buyers are responsible for ensuring that products comply with local and national healthcare regulations, FDA approvals (where applicable), and institutional policies.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDVAULT SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, special, or punitive damages
  • Loss of profit, revenue, data, or business opportunity
  • Patient injury or medical complications arising from product usage
  • Any damages exceeding the total amount paid for the product

This limitation applies regardless of the legal theory and whether MedVault has been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless MedVault, its officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including attorney's fees) arising from:

  • Your use or misuse of products
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Improper storage, handling, or maintenance of products
  • Claims by third parties related to your use of products

11. Intellectual Property Rights

All content on our website, including text, images, logos, and designs, is owned by or licensed to MedVault. You may not reproduce, modify, distribute, or use this content without our written permission, except for personal, non-commercial use.

Product names, logos, and brands are the property of their respective manufacturers and owners.

12. Prohibited Conduct

You agree not to:

  • Use our Services for unlawful purposes or in violation of regulations
  • Engage in fraudulent, deceptive, or misleading conduct
  • Access systems without authorization or attempt hacking
  • Post offensive, abusive, or harassing content
  • Violate intellectual property rights
  • Interfere with our Services or servers
  • Resell products without permission or attempt unauthorized redistribution
  • Use automated tools to scrape or bulk download content

13. Returns and Refunds

Medical devices, consumables, and pharmaceuticals cannot be returned or refunded once delivered due to health, safety, and regulatory constraints. Exceptions may be made for:

  • Damaged or defective products (within 7 days of delivery)
  • Products that do not match specifications (with evidence)
  • Expired or compromised products (with documentation)

Return requests must include supporting documentation and photographic evidence. Approved returns will be replaced or refunded at MedVault's discretion.

14. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive business information shared during our business relationship, including quotations, pricing, and facility-specific information, for a period of 3 years after the last transaction.

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Ghana, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.

15.3 Dispute Resolution

Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation and mediation for 30 days.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with any additional terms and conditions provided to you, constitute the entire agreement between you and MedVault and supersede all prior agreements and understandings.
